We do have the articles of association to go by that Igor posted up. If they are to be believed (they may have made subsequent resolutions) then it appears to be pretty clear-cut on that point. The removal of a director requires the signature of the Chairman of the board of directors, Broughton, which he hasn't provided, making the attempted reconstitution invalid. If that's established to be the case there is a second argument they appear to be making, and that is that the sale isn't a reasonable one. The summer refinancing by RBS was conditioned on Broughton becoming chairman, the appointment of BARCAP to engage prospective buyers and the owners committing to a "reasonable sale" - and just what exactly is a reasonable sale. This, I believe, is why Broughton today spoke about the extent of the search for new owners - that BARCAP contacted every possible prospective owner (exhaustive), that any serious bidder would have to live on Planet Zog not to be aware that the club is for sale, and that in the end the two "excellent financial offers" they received reflected a "competitive tension" i.e. the final offer is in the best interests of the club and reflects market value, and is therefore a reasonable one.

if if the clubs not officially sold because of the court proceedings that Hicks is trying to force, then court proceedings will take place after the RBS deadline meaning we will go into administration and the club will be taken out of Hicks and Gilletts hands.

Anyway you look at it they can't possibly win.

The newswires are 'screaming' with this story, never mind humming. Mega negative publicity, who in their right mind would partner with these tw@ts even if they were proven correct? One way or the other its over.

Like kids fighting with a toy, they fight so much the toy breaks but the bully is still happy he got it.

everything is moving so fast, i just hope everything is being done right this time around, dont just take there word it when they say the debt wont be put on the club.

The league need 10 days notice of any board changes with club (Prem rules for all clubs)
Any board changes need to be approved by the chairman (according to terms of refinanance agree with RBS)
The chairman works for Barcap/RBS  but even if they found a way to go against the chairman, the 10 days notice takes them 1 day past when RBS can take the club off them if the debt isn't paid in full.
